Before using Shipduo or accessing https://shipduo.com (the “Site”), please read these Terms & Conditions carefully. These Terms form a legal agreement between you (“Customer”) and D4W Solutions LLC dba Shipduo (“Shipduo,” “we,” “us,” or “our”).
By accessing or using the Site, Platform, or Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you should not use the Services.
If you are using Shipduo on behalf of a business or organization, you confirm that you have the authority to bind that entity.
1. Definitions
“Brokerage Services” refers to freight brokerage services where Shipduo arranges transportation through third-party carriers.
“Carrier” means any transportation provider including parcel, LTL, rail, or other logistics providers.
“Customer Data” includes all shipment, account, and operational data submitted by the Customer.
“Platform” refers to Shipduo’s shipping software, dashboard, API, and integrations.
“Services” includes access to the Platform and any selected shipping or brokerage services.
“Shipping Protection” means optional shipment protection available for eligible shipments under specific terms.
2. Business Use Only
Shipduo Services are designed for business use only and not for personal or consumer use. Where applicable, any non-excludable consumer rights will still apply as required by law.
3. Scope of Services
3.1 Platform
Shipduo provides a centralized platform to manage shipping operations, including booking, rate comparison, and logistics workflows.
3.2 Brokerage Services
When selected, Shipduo acts as a licensed freight broker to arrange shipments with third-party carriers in the U.S. and Canada.
3.3 Not a Carrier
Shipduo does not transport goods. All transportation is handled by independent carriers.
3.4 Platform-Only Use
If you directly contract with a carrier using the Platform, Shipduo acts only as a technology provider and is not part of the shipping contract.
4. Transit and Carrier Performance
Transit times are estimates only and are not guaranteed. Carriers control routes, schedules, and delivery timelines.
Carrier tariffs and service rules may apply and can override certain conditions where legally required.
5. Account Registration and Security
You confirm that you are at least 18 years old and authorized to use the Services. You are responsible for maintaining account security, including passwords and API access.
You must notify Shipduo immediately of any unauthorized access or activity.
6. Acceptable Use
You agree not to misuse the Platform. Prohibited activities include:
- Reverse engineering or copying the platform
- Using data scraping or automation tools without permission
- Disrupting system performance or security
- Building competing products using Shipduo
Shipduo may enforce usage limits to protect service performance.
7. Shipping Documents
Bills of Lading (BOL) generated through Shipduo are non-negotiable and are created on behalf of the Customer.
Incorrect or unauthorized use of shipping documents may void pricing and service obligations.
8. Compliance and Prohibited Shipments
Customers must comply with all shipping laws and regulations, including hazardous materials and customs requirements.
Prohibited shipments include restricted goods such as hazardous materials, firearms, illegal substances, live animals, and other regulated items.
Customers are responsible for compliance and will indemnify Shipduo for violations.
9. Shipping Protection
Shipping Protection is an optional service and does not guarantee carrier performance.
Coverage is subject to insurance terms, including limits, exclusions, and deductibles. Customers must follow proper claims procedures to qualify for coverage.
Customers are encouraged to maintain independent cargo insurance.
10. Pricing and Payments
All payments must be made in U.S. dollars unless otherwise agreed.
Charges may be adjusted based on shipment details, including weight, dimensions, and additional services.
Customers authorize Shipduo to process payments and applicable adjustments.
Late payments may incur interest and collection costs.
11. Rates and Charges
Shipping rates depend on accurate shipment data and may include additional fees such as:
- Reweigh or reclassification
- Residential delivery charges
- Liftgate or special handling
- Appointment scheduling
All charges are subject to carrier rules and conditions.
12. Guaranteed Services
Any guaranteed shipping services are subject to carrier policies and conditions. Claims must be submitted within the required timeframe.
13. Cargo Claims
Carrier liability governs shipment damage, loss, or delay.
Shipduo, as a broker, is not responsible for cargo claims unless required by law.
Claims must be submitted with proper documentation within required timelines.
14. Privacy and Data
Customer data is handled according to Shipduo’s Privacy Policy.
Customers retain ownership of their data but grant Shipduo permission to use it for service delivery, improvement, and analytics.
15. Intellectual Property
All platform content and technology belong to Shipduo. Customers receive a limited right to use the platform.
Feedback provided by users may be used by Shipduo without restriction.
16. Third-Party Services
Shipduo integrates with third-party tools and carriers. Shipduo is not responsible for third-party performance or services.
17. Suspension and Termination
Shipduo may suspend or terminate access if Terms are violated or misuse is detected.
Customers may stop using the Services at any time.
18. Disclaimer of Warranties
Services are provided “as is” without guarantees of availability, accuracy, or performance.
19. Limitation of Liability
Shipduo is not liable for indirect or consequential damages.
Liability is limited to the amount paid for the specific shipment or recent service usage.
20. Indemnification
Customers agree to protect and indemnify Shipduo from claims related to misuse, legal violations, or shipment issues.
21. Publicity
Shipduo may use customer name and logo for marketing purposes unless otherwise agreed.
22. Changes to Terms
Shipduo may update these Terms at any time. Continued use of Services indicates acceptance.
23. Governing Law
These Terms are governed by the laws of Minnesota, USA. Any disputes will be handled in Hennepin County courts.
24. Miscellaneous
If any provision is invalid, the rest remains enforceable. These Terms represent the full agreement between Customer and Shipduo.
